Retirement plans for iT services, software and tech startups in Orange County

Most Orange County software companies grew on revenue rather than rounds, which removes the usual excuse for having no plan and replaces it with a quieter one: nobody was hired to think about it.

The short answer

The county's technology employment is concentrated almost entirely in Irvine — the Business Complex around John Wayne Airport and the Spectrum south of the 405 — with satellites in Costa Mesa, Tustin, Newport Beach and Anaheim. It skews enterprise and hardware-adjacent rather than consumer, tenure runs longer than on the Westside, and an unusual share of firms are United States subsidiaries of overseas parents. Each of those facts changes the plan. None of them changes the deadline.

Where do iT services, software and tech startups cluster in Orange County?

Two Irvine districts hold most of it. The Irvine Business Complex, the grid of mid-rise office and R&D buildings wrapped around John Wayne Airport, carries the enterprise software, cybersecurity and IT services firms that want airport access. The Irvine Spectrum, out along Barranca Parkway, Alton Parkway and Bake Parkway where the 5 and 405 rejoin, carries the larger campuses and the hardware and semiconductor lineage. Between them sits UC Irvine, whose engineering and computer science programs supply the hiring pipeline and whose Beall Applied Innovation building on Campus Drive is the county's main point of contact between university research and companies that want to commercialise it.

The lineage matters because it shapes the payroll. This county's technology base grew out of semiconductors, storage, networking equipment, computer peripherals and medical devices rather than out of consumer web, and a lot of firms here still have something physical in the building: firmware and hardware engineers, test technicians, a small production or new-product-introduction line, a regulatory function. That produces a payroll with salaried engineers and hourly technicians in the same plan — and, on the whole, people who stay longer than four years.

The satellites are smaller and distinct. Costa Mesa's South Coast Metro and the 17th Street corridor carry design studios, digital agencies and the smaller product companies. Newport Beach adds financial technology and the software businesses that private equity has bought and is building. Tustin Legacy and its Flight campus have pulled in creative and technology tenants on the old air station land, and Anaheim's Platinum Triangle carries an events-and-hospitality technology cluster around the stadium and the convention center. Registration is free and the employer never touches the money. The exemption route is the one most iT services, software and tech startups miss: sponsoring your own plan does not exempt you automatically — you have to certify it, and the certification repeats.

What does ignoring it cost?

$250 per eligible employee at 90 days past notice, another $500 at 180 days, then $500 per employee every year you stay non-compliant (the full mechanics). What makes this industry harder than the mandate assumes?

The law treats every employer alike. The payroll underneath does not cooperate:

  • Growth funded by revenue rather than by rounds means the first real HR hire arrives after the company has already crossed two mandate thresholds without anyone noticing either.
  • Offshore development teams and contract engineering benches make the headcount ambiguous, and the number that matters for the mandate is only the California W-2 slice of it.
  • Benefits decisions in a subsidiary are made against a foreign parent's global policy on the parent's approval cycle, which can be several quarters slower than a deadline that has already passed.
  • Long tenure means vesting schedules forfeit very little, so an employer match costs close to its face value and has to be budgeted that way rather than discounted.
  • One plan document has to define compensation for salaried engineers on bonus plans and hourly test technicians on overtime, which is two pay shapes and one boilerplate default.

Typical headcount in this sector runs 5-100 employees, and roughly 55-70% of firms (est.) currently sponsor a plan of any kind — which is why the mandate lands here harder than in sectors that were already covered.

What plan design actually works?

The build for a fifty-to-two-hundred-person Irvine company is a safe-harbor 401(k) with short eligibility for engineering hires, then a new-comparability profit-sharing allocation on top so the founders and the long-tenured senior staff can be funded at a different rate from the general population within the testing rules. Set the compensation definition deliberately: with hourly test and production staff earning overtime and shift differentials alongside salaried engineers on bonus plans, the boilerplate default will not describe both groups correctly, and the mismatch surfaces in a corrective contribution rather than in a memo.

Two further items belong on the list for a subsidiary. Expatriate assignees from the parent — on United States payroll for a few years, then gone — need an explicit answer in the document about participation and vesting rather than an improvised one at their first distribution. And whoever is named as the plan's investment fiduciary should be named in writing; in subsidiary structures that role often falls by default on a local finance director who reasonably assumed the parent was handling it. A 3(38) appointment settles the question on paper instead of by assumption.

The Orange County wrinkle

A large number of Irvine technology employers are the United States arm of a company headquartered somewhere else — frequently in Asia, sometimes in Europe. That single fact reorders the whole conversation. Ownership across borders can create a controlled group under IRC § 414(b), which determines who must be covered and how testing is run, even though employees working abroad with no United States earnings are generally excludable as nonresident aliens. Meanwhile the benefits decision itself is made against a parent's global policy that has no concept of a safe harbor, on an approval cycle that runs through another timezone and another fiscal calendar. Start the analysis with ERISA counsel and the parent's finance team at the same time, and start it early.

The second Orange County difference is tenure, and it runs against Westside instinct. Where engineers stay five and eight years, a graded vesting schedule forfeits almost nothing, which means an employer match costs close to its stated face value rather than the discounted figure a high-turnover company can assume. That is not an argument against matching. It is an argument for budgeting it accurately and for spending the money where it does something — a company whose people stay is buying retention it already has, and might do better with a profit-sharing allocation tied to the year the company actually had.

Our parent company is headquartered overseas. Does that change our obligations here?

Not the mandate itself — if you have California W-2 employees you are a covered employer, and the deadline for your tier has passed regardless of who owns you. It changes the plan analysis considerably. Common ownership can create a controlled group under IRC § 414(b) that includes foreign affiliates, which affects who must be covered and how testing is performed. Staff based abroad who earn nothing in the United States can usually be left out of that testing as nonresident aliens, but that is a conclusion to reach on advice, not an assumption. This is genuinely ERISA counsel territory, and it is much cheaper to analyse before a plan is adopted than to unwind after a failed test.

We have 40 people in Irvine and 25 developers at an office in another country. Which number sets our tier?

The forty, for CalSavers purposes — the mandate counts employees on California payroll, and it uses the average employee count reported on your quarterly state filings rather than a number you supply. That puts you in the five-to-forty-nine tier whose deadline was 30 June 2022. The overseas team is a separate question about the plan, not about the mandate, and the answer depends on how they are engaged and whether they have United States earnings.

We crossed fifty employees three years ago and never registered. How bad is this?

Quantifiable, which is better than it sounds. The penalty is $250 per eligible employee at ninety days past notice and another $500 at a hundred and eighty, then $500 per employee for each year of continued non-compliance — so the arithmetic scales with your census and with time, and the only variable you control is when it stops. Register or adopt a plan now. If a notice has already arrived, read this first, because the window to appeal to the Franchise Tax Board is finite and closes for good at the final notice.

Candidates ask about the match in interviews. What do the large Irvine employers actually offer?

We are not going to quote you competitors' numbers, because they change and a wrong figure would be worse than none. What we can tell you is which structures are comparable. A basic safe-harbor match, an enhanced safe-harbor match and a non-elective contribution look very different on an offer letter even at similar cost, and candidates compare the headline percentage and the vesting schedule far more than the total. If recruiting is the reason you are doing this, cost all three against your real census and choose the one that reads best per dollar — that is a legitimate way to pick, and most employers never run it.
