An Edwards Lifesciences 401(k) balance can stay where it is, follow you into a new employer’s plan, roll to an IRA, or be cashed out with taxes attached. One check comes before all of that: whether any of the balance is invested in Edwards stock. If it is, the net-unrealised-appreciation analysis must run before any rollover, because an IRA rollover of those shares closes that door for good.
Irvine’s heart-valve giant and its mobile engineers
Edwards Lifesciences anchors a stretch of Irvine that has become one of the densest medical-device clusters in the country, employing engineers, clinical and regulatory specialists, manufacturing technicians and commercial staff. Device talent circulates constantly among Orange County medtech firms, so the leaving-a-plan decision recurs across a typical career here.
Check your statement for any company stock before requesting a rollover.
Your four options
The federal menu below applies to the whole balance — but any employer stock in the account should get the NUA screen first, before forms are filed for anything.
| Option | Good when | Watch out for |
|---|---|---|
| Leave it | The plan’s institutional pricing is genuinely low and you like the menu | Small balances can be forced out; orphaned accounts get forgotten |
| Roll to new employer | You want everything in one place and the new plan is decent | The new menu and fees may be worse than what you are leaving |
| Roll to an IRA | You want wider choice, control, or ongoing advice | An IRA balance can complicate a future backdoor Roth (pro-rata rule) |
| Cash out | A genuine emergency with no other source of cash | Income tax now, a 10% penalty under 59½, and the compounding is gone |
Things to check in your specific Edwards plan
Plan facts on this page come from the plan's public Form 5500 filing for 2024; plans change, so confirm with your current statement.
- Employer stock in the account. Check your statement for any company stock.
- The recordkeeper and rollover forms. The plan's Form 5500 filing for 2024 (public at efast.dol.gov) lists the Edwards Lifesciences Corporation 401(k) Savings and Investment Plan; Voya is listed as recordkeeper.
- Vesting on employer contributions. Your deferrals are always yours; the employer’s money vests on the plan’s schedule, so get your vested figure in writing before picking a last day.
- After-tax contributions, if permitted. Your SPD and statement show whether after-tax contributions are permitted and how your balances are recorded.
- Equity awards held outside the plan. RSUs or options at a device maker vest in a brokerage account under their own agreements — related to your wealth, unrelated to this rollover.
- Outstanding plan loans. Your SPD and HR explain any loan repayment options after separation.
The company-stock (NUA) screen, hedged properly
Net unrealised appreciation is a tax election available for employer securities held inside a qualified plan: distribute the shares in-kind, pay ordinary income tax only on their cost basis, and let the appreciation wait for capital-gains treatment. For long-tenured employees of a strong public stock, the savings can be material — which is why the analysis belongs at the front of the process.
Two honest hedges. First, NUA only helps when the shares have genuinely appreciated and the execution requirements — including a qualifying lump-sum distribution — are met precisely. Second, none of this matters if your plan never held employer stock in the first place. Check the statement before you build a strategy around it, and bring a tax professional in before you sign.
Always transfer directly. The clean route is a trustee-to-trustee transfer, which moves the entire balance untouched. Let the plan cut a cheque to you instead and IRC § 3405(c) withholds 20% on the spot — money you must replace from elsewhere to complete a tax-free rollover within 60 days.
Common questions
I am moving to another Irvine medtech firm. Roll the 401(k) into their plan?
Often reasonable — consolidation has real value — but read the receiving plan’s fees and menu before assuming it is an upgrade, and settle any NUA question first. Employer stock rolled into any plan or IRA loses the election permanently, whichever direction it travels.
My Edwards shares are mostly in RSUs, not the 401(k). Does NUA apply?
No — NUA attaches only to employer securities distributed from the qualified plan itself. RSUs vest in a brokerage account and are already ordinary stock. What they share with plan-held stock is concentration risk, which deserves its own plan.
What does Aduna Capital charge to look at this?
