A Rivian 401(k) has the standard four exits: remain in the plan, transfer into a new employer’s plan, roll into an IRA, or cash out with taxes and usually a penalty attached. Rivian is publicly traded, so shares held inside the plan — if your plan offers them and you own any — technically raise the NUA election; but NUA only pays on appreciation above cost basis, so with a volatile stock the screen is quick arithmetic, not automatic strategy. RSUs vest outside the plan and are a separate matter.
Irvine’s electric-truck headquarters
Rivian designs and runs much of its business from Irvine, employing vehicle and software engineers, designers, supply-chain and corporate staff, with manufacturing elsewhere and service operations spread nationally. Like most growth-stage automakers it has hired in surges and restructured in waves, so departures — voluntary and otherwise — are a routine feature of the workforce story.
The plan's Form 5500 filing for 2024 (public at efast.dol.gov) lists the Rivian, LLC 401(k) Plan; Empower is listed as recordkeeper. Your SPD, statement or HR confirms the plan line-up and any match.
Your four options
Volatile employer, standard menu. The table cares about fees and destinations, not the stock chart.
| Option | Good when | Watch out for |
|---|---|---|
| Leave it | The plan’s institutional pricing is genuinely low and you like the menu | Small balances can be forced out; orphaned accounts get forgotten |
| Roll to new employer | You want everything in one place and the new plan is decent | The new menu and fees may be worse than what you are leaving |
| Roll to an IRA | You want wider choice, control, or ongoing advice | An IRA balance can complicate a future backdoor Roth (pro-rata rule) |
| Cash out | A genuine emergency with no other source of cash | Income tax now, a 10% penalty under 59½, and the compounding is gone |
Things to check in your specific Rivian plan
Plan facts on this page come from the plan's public Form 5500 filing for 2024; plans change, so confirm with your current statement.
- Whether the plan holds any Rivian shares. The plan's Form 5500 filing for 2024 (public at efast.dol.gov) lists the Rivian, LLC 401(k) Plan; no employer securities were reported at the end of 2024. Check your statement for any company stock.
- The recordkeeper and rollover forms. The plan's Form 5500 filing for 2024 (public at efast.dol.gov) lists the Rivian, LLC 401(k) Plan; Empower is listed as recordkeeper.
- Vesting on employer money as of your last day. Restructuring timelines and vesting dates interact expensively — get your number in writing early.
- Your RSU account, separately. Vested RSUs are ordinary shares in a brokerage account — no rollover exists for them; the decisions are concentration and taxes.
- Loans and small-balance rules. Federal law lets plans cash out or automatically roll over vested balances up to $7,000; your plan's threshold and any IRA provider are in the SPD. Ask HR or consult the SPD for loan terms.
NUA with a volatile stock: run the arithmetic first
The net-unrealised-appreciation election rewards exactly one situation: employer shares inside the qualified plan whose market value stands well above their cost basis. With a stock that has traded across a wide range, plan-held shares may sit above, near or below basis depending on when the contributions landed — and shares without meaningful appreciation make the election pointless, since its whole benefit is converting appreciation to capital-gains treatment.
So the sequence is simple and cheap: confirm whether plan-held employer stock exists, pull its cost basis from the recordkeeper, and only if the gain is substantial does the full NUA analysis — lump-sum mechanics, tax modelling, CPA in the loop — earn its complexity. Either way, settle it before any rollover, because the option does not survive one.
Always transfer directly. However the balance moves, make it move custodian-to-custodian. IRC § 3405(c) takes 20% off any distribution cheque cut in your name, and re-completing the rollover within 60 days obliges you to advance that withheld portion from other funds.
Common questions
My RSUs are underwater versus their vesting price. Does that change the 401(k) decision?
No — RSUs and the 401(k) are separate assets with separate rules. Depressed equity might affect your household risk budget and cash planning, but the plan balance’s four options and their economics are unchanged. Decide each on its own terms.
I was part of a reduction and got severance. Does that interact with the plan?
Severance is wages outside the plan — it does not extend vesting or add contributions after separation in the typical case. Its real role is bridging your budget so the 401(k) is never the emergency fund. Confirm any loan deadline immediately; that is the one real clock.
Plan, new employer, or IRA for an engineer who changes jobs every few years?
Frequent movers benefit most from a standing rule: pick one consolidation home — often an IRA, sometimes the current employer’s plan if backdoor Roths matter — and sweep each departure into it. The costliest pattern is five orphaned balances at five recordkeepers.
Boring is the goal — let the 401(k) stay boring
One review settles the stock screen, the loan clock and the destination, and leaves you a rule to reuse at the next job.
